Terms of service
The agreement between you and Loopbox. Written to be read once and understood — the plain sentence is the clause, not a summary of one hiding elsewhere.
Layout and structure only. Every clause is placeholder wording — it must be written or reviewed by counsel before this page is published.
01Who we are
Loopbox is operated by [COMPANY LEGAL NAME], registered at [REGISTERED ADDRESS] under company number [COMPANY NUMBER]. "We" and "us" mean that company; "you" means the person or organisation holding the account.
02Accepting these terms
Creating an account accepts these terms. If you are accepting on behalf of an organisation, you confirm you are able to bind it.
If you do not accept them, do not create an account — there is no partial acceptance.
03Your account
You are responsible for what happens under your account, including anything done by people you invite to a team plan.
Keep your sign-in details private and tell us at [SECURITY EMAIL] if you believe they have been used by someone else.
04Your content stays yours
You keep every right you already had in the audio you upload. Uploading grants us a narrow licence to store it, transcode it, analyse it to produce tags, and serve it back to you and to anyone you deliberately share a collection with.
That licence exists so the product can function and ends when you delete the file. We do not license your audio to third parties, sell it, or use it to train models.
05What you may not upload
Audio you have no right to distribute, material that is unlawful in [JURISDICTION], and anything intended to break the service or reach another account’s data.

06Plans, payment and renewal
Paid plans bill in advance each month or year through [PAYMENT PROVIDER] and renew automatically until cancelled. Prices exclude tax unless the checkout says otherwise.
We give at least 30 days notice before a price change affects a renewal.
07Storage limits and overage
Each plan carries a storage ceiling and an upload allowance. Crossing the ceiling stops new uploads; it never deletes what is already stored.
Free accounts inactive for [N] months may be reduced or removed after [N] warning emails to the address on file.
08Cancelling and deletion
Cancel at any time from Account. Your plan runs to the end of the paid period, after which the account drops to Free.
You may export everything at any point. After cancellation we keep your files for [N] days so you can retrieve them, then delete them from live systems; backups age out within [N] days.
09Availability
We aim for high availability but do not promise uninterrupted service on any plan. Planned maintenance is announced on the status page.
Loopbox is a convenience copy, not a certified archive. Keep your own backup of anything irreplaceable.
10Warranties and liability
The service is provided as-is to the extent [JURISDICTION] law allows. Nothing here limits liability for death, personal injury or fraud.
Our aggregate liability is capped at the greater of [AMOUNT] or the fees you paid in the 12 months before the claim. [COUNSEL TO CONFIRM CAP AND CARVE-OUTS].
11Changes to these terms
We may change these terms. Material changes are announced by email and on this page at least 30 days before they take effect, and the version number above increases.
Continuing to use the account after that date accepts the new version. Previous versions stay published.
12Law and contact
These terms are governed by the law of [JURISDICTION], and the courts of [VENUE] have exclusive jurisdiction.

In short
Your samples are yours. We store them, read them to build tags, and hand them back on request. We do not license, sell or train on them. If you stop paying, you get an export window before anything is removed.
